1. Acceptance of Terms

2. Use of the Service

4.1. Ownership: We retain all rights, title, and interest in and to our SaaS platform, including all intellectual property rights.

4.2. License: Subject to these Terms & Conditions, we grant you a limited, non-exclusive, non-transferable license to access and use our SaaS platform for your internal business purposes.

3.3. Taxes: All fees are exclusive of any applicable taxes, and you are responsible for paying any taxes that may be imposed on your use of our SaaS platform.

5. User Content

5.1. Submission: Our SaaS platform may allow you to submit, post, or display content, including but not limited to text, images, and reviews ("User Content").

5.2. License: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content.

5.3. Responsibility: You are solely responsible for the accuracy, completeness, and legality of all User Content that you submit.

6. Prohibited Conduct

6.1. You agree not to:

7. Termination

7.2. Termination by You: You may terminate your account at any time by contacting us or using the account termination feature available on our SaaS platform.

8. Disclaimer of Warranties

8.1. Our SaaS platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.

8.2. We do not warrant that:

a. Our SaaS platform will meet your specific requirements

b. Our SaaS platform will be uninterrupted, timely, secure, or error-free

c. The results that may be obtained from the use of our SaaS platform will be accurate or reliable.

9. Limitation of Liability

9.1. Under no circumstances shall we be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from:**

a. The use or inability to use our SaaS platform

b. The cost of procurement of substitute goods and services;

c. Unauthorized access to or alteration of your transmissions or data

d. Any other matter relating to our SaaS platform.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

11. Changes to Terms & Conditions

We reserve the right to modify or replace these Terms & Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
